Estonian company run from Uruguay: what is taxed where

What owners and directors in Uruguay of an Estonian OÜ must know about Uruguayan-source income, the permanent establishment and the missing tax treaty — with the legal sources.

In short

Some entrepreneurs who live in Uruguay form or buy an Estonian private limited company (OÜ), often as e-residents, and run it from Montevideo or Punta del Este. That works, and Uruguay's business income tax is built mainly on the source of income: it taxes income from Uruguayan sources, and a place of management in Uruguay of a foreign company is a permanent establishment that pays it. How your company and you are taxed depends on the facts of your case; ask a Uruguayan tax adviser before you form or buy the company.

Estonia and Uruguay have no tax treaty. This guide sets out these rules with the official text, and what we do on the Estonian side.

The guide is general information, not tax advice. How your company and you are taxed depends on the facts of your case; ask a Uruguayan tax adviser before you form or buy the company. We read Title 4 of the ordered tax text of the Uruguayan tax authority (Texto Ordenado 2023 of the DGI, approved by Decree 101/024) in the updated text of IMPO, the official information centre of Uruguay, which notes amendments up to Law 20.531 of 1 October 2026, and the Estonian Ministry of Finance's list of tax treaties, on 24 October 2026.

In Estonia: an Estonian company is Estonian

A company established under Estonian law is resident in Estonia for tax purposes (Income Tax Act § 6). Its profit is taxed when it is distributed, not while it stays in the company — the guide how Estonia taxes company profit explains the rule. The company keeps its Estonian duties wherever its owners live: accounts, an annual report to the commercial register and, if its address is abroad, a contact person in Estonia.

In Uruguay: the company side

  • A tax on income from Uruguayan sources. The business income tax (IRAE) is an annual tax on income from Uruguayan sources from economic activities of any kind (Title 4, article 1). Income is from Uruguayan sources when it comes from activities carried on, assets located or rights used economically in Uruguay, whatever the nationality, domicile or residence of the parties (article 16); some foreign income of members of multinational groups is added by special rules (article 16, item 7).
  • Resident companies are those formed in Uruguay. Legal persons constituted under Uruguayan law are resident; a foreign legal person that establishes its domicile in Uruguay is resident once the formal procedures are completed (article 3).
  • A place of management is a permanent establishment. A non-resident that carries on all or part of its activity through a fixed place of business in Uruguay has a permanent establishment there, and the term includes places of management (article 4). Permanent establishments of non-residents are taxpayers of the tax (article 18(B)).
  • Rate. The tax is 25 per cent of net taxable income (article 23).

An Estonian OÜ is not constituted under Uruguayan law. If you live in Uruguay and manage the business from there, Uruguay can treat that place of management as a permanent establishment of the Estonian company and tax its income from Uruguayan sources. Your Uruguayan tax adviser answers that with the facts of your case.

In Uruguay: the owner side

  • Who is a resident individual. An individual is tax resident in Uruguay if they stay there for more than 183 days in the calendar year, or if the main core or base of their activities or of their economic or vital interests is in Uruguay (article 2).
  • The owner's own income tax. How a resident individual is taxed on dividends or other income from a foreign company is governed by the personal income tax, which this guide does not cover. Ask your Uruguayan tax adviser.

No tax treaty between Estonia and Uruguay

  • No treaty. Uruguay is not on the Estonian Ministry of Finance's list of tax treaties in force, signed or initialled.
  • What that means. There is no treaty rule on a permanent establishment or on the tax on dividends and board fees — each country applies its own law. See board member fee or dividend from abroad for the Estonian side.

What to decide before you form or buy the company

  • Where the business is managed. A place of management in Uruguay is a permanent establishment.
  • Where the income comes from. Income from activities carried on in Uruguay is from Uruguayan sources.
  • How profits reach you. Without a treaty, each country applies its own rules to dividends and board fees.

Frequently asked questions

Is my Estonian company taxed in Uruguay if I run it from Uruguay?

It can be. Uruguay's business income tax is a tax on income from Uruguayan sources (Texto Ordenado 2023, Title 4, articles 1 and 16), at 25 per cent (article 23). Only companies constituted under Uruguayan law are resident (article 3), but a place of management in Uruguay of a foreign company is a permanent establishment (article 4) and pays the tax (article 18). In Estonia the company stays resident because it was established under Estonian law (Income Tax Act § 6). Estonia and Uruguay have no tax treaty, so each country applies its own law. Ask a Uruguayan tax adviser before you form or buy the company; we handle the Estonian side.
