Who can order these company services?
Every client: any person or company that owns or manages an Estonian company, whether or not they are an e-resident, and anyone moving to Estonia. The services are ordered and paid online; notary fees, translations and certification of powers of attorney, state fees and other administrative costs are charged separately.
Who decides on a residence or work permit?
The Police and Border Guard Board. We help you complete and submit the application and advise you on the documents; the decision is made by the authority, and no service provider can promise it.
Can you change the management board or the shareholders of my company?
Yes. We prepare the resolutions and applications for a change of management board member, a change of shareholders and transfer of a share, an amendment of the articles, a change of business name and adding a field of activity. A share transfer in a private limited company requires a notary; where you cannot sign in Estonia we prepare a bilingual power of attorney.
What does the annual company secretary service do?
For twelve months we keep your company's corporate calendar: email reminders of the annual report deadline and of the register data that must be kept current, one annual check of the company's commercial register and beneficial owner data, and a draft shareholder resolution approving the annual report. It does not include the annual report itself, register changes or accounting.
Can I order the company secretary service for a company I already own?
Yes. It is available on its own for any Estonian private limited company under our company services, and as an upgrade when you buy a ready-made company or form a new one.
When do I need a power of attorney for my Estonian company?
When an act must be performed in Estonia and you cannot sign it yourself — typically a notarised share transfer, a remote formation through a notary, a real estate transaction, or a register change where you have no Estonian digital identity. For a transaction that must be notarised, the power of attorney must be notarised as well.
Why can the power of attorney only be ordered together with a company change?
Because we draft it for a specific purpose — the change or transaction it serves — so that it covers every act the notary or the register needs and nothing more. In the order form it becomes available once you choose that change. Notary and apostille fees are paid separately.
What is a Certificate of Residence for an Estonian company?
An official confirmation by the Estonian Tax and Customs Board that the company is resident in Estonia for tax purposes. A foreign payer or tax authority uses it to apply a double taxation treaty, for example to reduce withholding tax on dividends, interest or royalties; foreign banks and payment providers often ask for it as well.
Which form of the Certificate of Residence do I need?
Ask the foreign authority, payer or bank. The standard certificate is enough in many cases. Some require a paper document with the stamp of the Tax and Customs Board, others accept a digitally signed document. Where the foreign country has its own form, we have that form certified.
Is the Certificate of Residence always issued?
The decision is made by the Estonian Tax and Customs Board, which issues the certificate only when the company meets the residency conditions. We prepare and submit the application and follow it up; we cannot promise the Board's decision.
Can I order the Certificate of Residence together with a ready-made company?
Yes. It can be ordered together with the purchase of a ready-made company, or with a new company, and for any Estonian company you already own.
Does the extension include both the address and the contact person?
Yes. The extension continues both the registered address in Estonia and the licensed contact person for the next 12 months, at a combined price that is lower than ordering the two services separately.
What happens if I do not extend the address and contact person?
A company whose management board is located outside Estonia must have a contact person in Estonia at all times (Commercial Code § 63¹). Without one, the registrar can require the company to appoint a contact person and, if it does not, may in the end delete the company from the register. We remind you before the term ends.
What does the company seal contain?
The business name and the registry code of the company exactly as entered in the Estonian commercial register. It is a self-inking seal, produced once the company is registered.
