Registered address and contact person in Estonia

Every Estonian company must have an address in Estonia where it can be reached, and a company whose management board is located abroad must also appoint a contact person in Estonia. For most e-residents and foreign owners both are provided by a licensed service provider. This guide explains the legal requirements, what the service includes and what happens when the term ends.

The legal requirements

• Address. The commercial register records the company's registered office and address in Estonia. Official letters from the Tax and Customs Board, courts and other authorities are sent there, and the address must be one where the company can actually be reached.
• Contact person. If the address of the management board is not in Estonia, the company must appoint a contact person whose address is in Estonia and to whom procedural documents and declarations of intent addressed to the company can be delivered (Commercial Code § 63¹). The contact person is entered in the register.
• Who may provide it. Providing the address and the contact person service to companies is a regulated trust and company service under the Money Laundering and Terrorist Financing Prevention Act. LexorCorp Global OÜ holds the activity licence FIU000117 of the Estonian Financial Intelligence Unit.

A company without a valid contact person, when one is required, can be deleted from the register by the registrar. Missing an official letter at a non-functioning address can mean missing a deadline set by an authority.

What the service includes

• a registered address in Tallinn entered in the commercial register;
• a licensed contact person entered in the register;
• receipt of official mail, scanning and forwarding by email;
• the agreements required between the company and the provider.

With a ready-made company or a new company the address and the contact person are included for the first 12 months. After that the extension for a further 12 months costs (the same for a company we formed: ).

For an existing company that comes to us from another provider, the registered address () and the contact person service () can be ordered separately; the register entry is made with a resolution of the management board.

What we need from you

• the registry code and the names of the management board members;
• client due diligence documents: passport or ID card and proof of address of the board members and beneficial owners, as the licensed service requires;
• a digital signature (Estonian ID card, e-residency card, Mobile-ID or Smart-ID) for the register application.

When the term ends

We remind the company before the end of the term. If the service is not extended, the company must enter a new address and contact person in the register; otherwise we resign as contact person as the law allows, and the registrar may start the deletion procedure. Keeping the term aligned with the company's corporate calendar avoids that risk.
