Which route applies to me — digital signing or power of attorney?
The digital signing route applies when every shareholder and every management board member can sign digitally with an e-residency card or an Estonian ID card, Mobile-ID or Smart-ID. If anyone involved cannot sign digitally, the change is made on the basis of a power of attorney signed in your home country.
What is included in the price of a register entry?
The resolutions and the application to the commercial register, and all Estonian state fees and notary fees. One change or all of them together — the articles, the management board, the address, the contact person — is one entry at one price. The price covers one person who is both the only shareholder and the only board member; additional persons and company shareholders are added in the order form.
If I change the address or the contact person, do I get the service?
No. The register entry only records the new address or contact person in the commercial register. The registered address and contact person service itself is separate; you can add it with one click, together or each on its own.
How does the power of attorney route work?
We draft the power of attorney. You sign it in your home country, a local notary there notarises it and, as a rule, it is also apostilled. An apostille is not needed when the power of attorney is signed in Latvia, Lithuania, Poland or Ukraine. The fee of the notary in your home country and the apostille are not included in our price — you pay them locally.
Can the share capital be increased or decreased?
Yes. A change of share capital is made together with the amendment of the articles of association, as one register entry, by digital signing or by power of attorney. A decrease of share capital has additional requirements under the Commercial Code, for example notice to creditors; we explain them before you order.
Do you provide services to clients from Russia?
No. We do not provide services to citizens of Russia or to companies from Russia.
How is a share in an Estonian company transferred?
The transfer agreement is certified by an Estonian notary, who submits the change of shareholders to the register. The parties sign in person, digitally through the e-notary, or on the basis of a power of attorney. We check the articles for pre-emption rights and consents first.
Is the change of shareholders priced the same on both routes?
Yes. The change of shareholders and the transfer of a share have the same price on the digital route and on the power of attorney route. Additional persons and company shareholders are added in the order form.
