Company secretary service in Estonia

The corporate calendar of an Estonian company and how a company secretary keeps it.

Estonian company law is simple, but it has fixed dates. An owner who runs the company from abroad and misses one of them can face a fine, a compulsory register entry or, in the end, deletion of the company. A company secretary service keeps the corporate calendar and prepares the routine decisions so that nothing is missed. This guide lists the dates that matter and explains what the service includes.

The dates that matter

  • Annual report — within six months after the end of the financial year, approved by the shareholders and submitted to the commercial register (Commercial Code § 179, Accounting Act).
  • Beneficial owners — the data of the ultimate beneficial owners must be kept correct in the register and confirmed when the annual report is submitted (Money Laundering and Terrorist Financing Prevention Act § 77).
  • Contact person and address — a company whose board is abroad must have a valid contact person in Estonia at all times (Commercial Code § 63¹); the service term must not lapse.
  • Management board term — if the articles fix a term for the board members, a new decision is needed before it ends.
  • Register data — changes of board members, shareholders, business name, address or activity code must be entered in the register.
  • Tax declarations — monthly TSD and, for VAT-registered companies, KMD.
