Setting up an Estonian company is a one-off cost. Keeping it is a yearly one. Many owners, especially e-residents who run their company from abroad, only notice the recurring costs when the first year's address and contact person service runs out or when the first annual report is due. This guide lists what an Estonian private limited company (OÜ) typically needs every year and what each item costs with us, using the prices from our price list.
1. Registered address and contact person
Every Estonian company must have an address in Estonia. If the management board is located outside Estonia, the company must also have a contact person in Estonia. Our ready-made company and formation packages include both for the first 12 months. After that:
- Extension of the registered address and contact person for a company bought or formed with us: .
- If you only need one of the two services, for example for a company formed elsewhere: registered address or contact person . Both are in our services for e-residents and foreigners.
2. Accounting
An Estonian company must keep accounts for as long as it exists, whether or not it trades. Our accounting service starts . It is a "from" price: the actual monthly price depends on the number of transactions and on whether the company is registered for VAT. We quote it individually by email before any work starts.
A company that is registered as a VAT payer submits a VAT return every month, even when there were no sales, and that has to be reflected in its accounting. Consider this before you register for VAT.
3. The annual report
Every Estonian company must submit an annual report to the Commercial Register within six months after the end of its financial year. The report is also required when the company had no turnover. Our prices:
- Annual report for a company without turnover: .
- Annual report as an add-on to a ready-made company or formation package: .
If the records are incomplete or several years are missing, the report cannot be prepared before the accounts are put in order. Accounting restoration starts ; the final price depends on the volume and the condition of the records. What happens to companies that do not file is explained in Annual reports, company deletion and liquidation.
4. Changes during the year
Not every company needs these, but they are common costs. Each has a fixed price:
- change of management board member: ;
- change of shareholders and transfer of a share: ;
- amendment of the articles of association: ;
- change of business name: .
The e-resident services section of the price list has every administrative service, including VAT and EORI number applications, apostille and sworn translation: see the full list.
A simple yearly checklist
- Is the registered address, and the contact person if needed, paid for the coming year?
- Is the accounting up to date every month?
- Is the annual report planned for the six months after the financial year ends?
- Does the register show the current board members, shareholders and business name?
When the company is no longer needed
A company you stop using keeps its obligations until it is closed properly. A company without turnover can be deleted from the register (). An operating company is liquidated (). The guide Closing an Estonian company explains why walking away is not an option and which route fits.
