Creditor licence and credit servicer authorisation in Estonia

We prepare and manage applications to the Estonian Financial Supervision Authority for a creditor licence and for a credit servicer (debt collection) authorisation, and the documents a lending or servicing business needs.

In short

Creditor licence (consumer credit) and credit servicer authorisation with the Estonian Financial Supervision Authority, and the lending documentation. The price is from €24,000, excluding VAT. How long it takes: drafting 6–10 weeks; FSA statutory term from a complete application.

The documents that are prepared

A credit servicer application contains:

  • the articles of association
  • a business plan meeting § 8 of the Credit Servicers and Credit Purchasers Act (KIOS)
  • information on the management board
  • information on qualifying holdings
  • internal rules
  • internal procedures for handling complaints
  • a description of the IT systems
  • a payment account meeting § 47 of KIOS

What LexorCorp does

  • assess the business model against the requirements and tell you in writing what the application needs
  • draft the application documents listed above and assemble the file
  • submit the application and manage the correspondence with the authority
  • prepare the answers to the authority's questions together with you
  • keep every step in writing, so you always see what has been filed and what is pending

What you do

  • pay in the share capital in full — for a credit servicer at least 25,000 euros (KIOS § 46)
  • appoint managers who meet the requirements of the Act
  • give us complete information on the owners, qualifying holdings and the planned activity

What the authority does

The authority is the Estonian Financial Supervision Authority (Finantsinspektsioon).

  • for a credit servicer: decides on the licence within three months of receiving all the required documents and information, and in any event within six months of receiving the application
  • may refuse the licence if the applicant does not meet the requirements of the Act, its share capital is not fully paid in, or its managers do not meet the requirements (KIOS § 11)

Timeline

For a credit servicer the authority decides within three months of a complete file and in any event within six months of the application. For a creditor licence this page states no period. We confirm our preparation time in writing before the work starts. We do not promise the date of the authority's decision.

Our fee

Usual time: drafting 6–10 weeks; FSA statutory term from a complete application. This is what it usually takes, not a promised date.

What is not included in our fee

We do not grant or guarantee the licence and cannot promise when the authority decides. We do not provide the capital and do not collect debts ourselves. The introduction to a debt collection partner is an introduction only; the terms are agreed between you and the partner.

This price is our professional fee for the corporate and regulatory work described. It is not the price of a licence and does not include state or supervisory fees, regulatory capital, or third-party costs. The authorisation is granted by the competent supervisory authority.

Our own licence FIU000117, issued by the Estonian Financial Intelligence Unit, covers LexorCorp Global's activity as a company service provider. It is not an authorisation for your business and gives us no right to grant one: the final decision on every licence, authorisation and registration is made by the competent supervisory authority alone.

Two different authorisations

A creditor that grants consumer credit in Estonia needs an activity licence from the Financial Supervision Authority under the Creditors and Credit Intermediaries Act (KAVS). A credit servicer (krediidiinkasso) that manages and collects credit on behalf of creditors or credit purchasers needs an activity licence under the Credit Servicers and Credit Purchasers Act (KIOS), which transposes Directive (EU) 2021/2167.

These are different from a company that is only set up for lending or debt collection. On our licensed companies page, "Lending company formation" and "Debt collection company" are corporate structures only: they do not include a creditor licence or a Financial Supervision Authority authorisation.

Capital requirements

Creditor
Share capital of at least 50,000 euros, fully paid in (KAVS § 54, Riigi Teataja).
Credit intermediary
Share capital must be fully paid in; the Act sets no separate minimum amount (§ 54(1)).
Credit servicer
Share capital of at least 25,000 euros, fully paid in (KIOS § 46, Riigi Teataja).

What the credit servicer application contains

The application lists the documents set out in KIOS § 7: among them the articles of association, a business plan meeting § 8, proof of the paid-in share capital, information on managers and qualifying holdings, the internal rules and internal control system (§§ 41–42), a description of the IT systems and, if the servicer will receive and hold borrowers' funds, a separate payment account meeting § 47. A servicer must also have a complaints procedure (§ 60). Our add-ons cover each of these documents.

Supervisory reporting for creditors and credit servicers: price, requirements, process and deadline on its own page

How a creditor or credit servicer application works

  1. Which licence you need

You: You describe whether you will grant consumer credit or service and purchase credit claims.

We: We tell you in writing whether that calls for a creditor licence or a credit servicer authorisation.

  2. Your product and funding

You: You send the product description, target customers, credit volumes and funding sources.

We: We check the inputs against the Act that applies and list what the applicant still has to arrange.

  3. Application and required rules

You: You read the drafted rules and confirm that they describe how your company will really operate.

We: We draft the application and the rules it requires; this drafting takes 6–10 weeks.

  4. Managers and share capital

You: You appoint managers who meet the requirements of the Act and pay in the share capital in full.

We: We assemble the information on the management board and the qualifying holdings for the file.

  5. Filing and the authority's questions

You: You sign the application and stay reachable while the Financial Supervision Authority examines it.

We: We file the application and prepare the answers to the questions the authority sends.

  6. The authority's decision

You: You receive the decision directly as the applicant.

We: We have no say in it: the Estonian Financial Supervision Authority decides and may refuse a licence if the Act's requirements are not met.

Order a credit licence application

What we need from you and why

From youWhy
Whether you will grant credit or service credit claimsIt decides which application we prepare: the creditor licence or the credit servicer authorisation.
Product description, target customers and credit volumesThe application and the rules we draft must describe how your company will really operate.
Your funding sourcesWe ask for them together with the product description before the drafting starts.
Personal documents of each management and supervisory board memberYou appoint managers who meet the requirements of the Act, and the file documents them.
Identity, ownership chart and source of funds of qualifying holdersThe file identifies each qualifying holder and the source of funds for the capital.
Evidence that the share capital is paid in fullThe own funds or share capital required by the Act is a prerequisite, and you pay it in yourself.

When this service is not for you

  • You want to be told in advance that the licence will be issued. That is not possible: the Financial Supervision Authority examines the application and sends its decision to you as the applicant.
  • You are looking for credit scoring software. Software is not included in this work.
  • You need only the corporate structure of a lending or debt collection company. Those structures are separate items under licensed and regulated companies.
  • You do not have an Estonian company for the application. An Estonian company is a prerequisite; a new company formation comes first.

Frequently asked questions

Do I need a creditor licence to lend to businesses only?

The Creditors and Credit Intermediaries Act concerns credit to consumers. Whether your model needs a licence depends on your customers and products; we check this in writing before the work starts.

What is the difference between a credit servicer and a debt collection company?

A credit servicer is authorised by the Financial Supervision Authority under KIOS to manage and collect credit agreements on behalf of creditors or credit purchasers. A debt collection company on our licensed companies page is a corporate structure only, without that authorisation.

How much capital does a credit servicer need?

At least 25,000 euros of share capital, fully paid in (KIOS § 46). A creditor needs at least 50,000 euros (KAVS § 54). The capital is not part of our fee.

Must a credit servicer hold borrowers' money on a separate account?

Yes, if it receives payments from borrowers. KIOS § 47 requires those funds to be kept on a separate payment account and not used in the servicer's own business. The account itself is opened by a bank or payment institution at its discretion.

Do licensed creditors and credit servicers file periodic reports?

Yes. They report to the Financial Supervision Authority on their activity, financial position and compliance with the licence conditions, in the form and at the intervals the authority sets. Our annual service keeps the calendar and prepares the reports from your data.

Does the reporting service include accounting?

No. The reports are prepared from accounting and business data you provide. Accounting and supervisory fees are separate.

Creditor licence or credit servicer authorisation — which applies?

Granting consumer credit requires a creditor licence; servicing credit agreements for credit purchasers requires a credit servicer authorisation. We confirm this in the assessment.

What are the main risks?

Own funds, fit and proper management, responsible lending rules and IT systems that do not meet the requirements.

What happens if a document is missing from the application?

The authority suspends the procedure until it receives it; we prepare it with you.
