Aged shelf companies in Estonia: what the age gives

What an earlier registration date gives a buyer and what it does not — and when a company that has traded is the better choice.

In short

Some buyers ask for an aged shelf company — an Estonian company registered several years ago, often "3 to 10 years old". A shelf company is an Estonian private limited company (OÜ) that was registered earlier and has not traded. An aged shelf company is simply one that has stayed on the shelf longer.

Some buyers ask for an aged shelf company — an Estonian company registered several years ago, often "3 to 10 years old". This guide explains what the age of a company is, what it gives you and what it does not, how to check it yourself for free, and when a company that has actually traded is the better choice.

The guide is general information, not legal, tax or investment advice for a particular purchase.

What an aged shelf company is

A shelf company is an Estonian private limited company (OÜ) that was registered earlier and has not traded. An aged shelf company is simply one that has stayed on the shelf longer. Our ready-made companies are of this kind: they have a registration date in the past, but no business history — no sales, no employees, no debts. We confirm that before the transfer.

The age of a company is its registration date in the commercial register. It is public: the e-Business Register shows it free of charge, and so does our free company search, together with the latest annual report.

What the age gives you, and what it does not

  • It gives a registration date. The company keeps its registry code, its registration date and its financial year after the transfer.
  • It does not give a trading history. A company that has not traded has no sales, customers or contracts to show. Its annual reports — an OÜ submits one every year, within six months after the end of its financial year (Commercial Code § 179) — show that it had no business.
  • It does not open a bank account. A bank or payment institution opens an account at its own discretion, after its own review of the company and its owners. A registration date does not replace the documents the bank asks for.
  • It does not give a VAT number. Only a company already registered as a VAT payer has one — on our price list, the packages marked "WITH VAT number". A later registration is decided by the Tax and Customs Board, which can ask for evidence of the company's business; it is not guaranteed.

So an aged shelf company suits a buyer who wants an existing company quickly and is happy with an earlier registration date. A buyer who needs a track record — turnover, customers, filed accounts with a profit — needs a company that has really traded.

Checking a company before you buy it

  • The register card. The e-Business Register shows the registration date, the management board, the shareholders of an OÜ, the entries and the annual reports.
  • The annual reports. Every year since registration should have a report. Our company search shows the period of the latest report and says when a report is missing.
  • Tax debts and court cases. The Tax and Customs Board publishes tax debts, and court decisions are published in Riigi Teataja.

When a trading company is the better choice

A company that already trades is not bought from a shelf but from its owner: you check what it has done, agree a price with the seller and transfer the share at a notary. It carries its history with it — contracts, customers, debts and obligations. The guide buying an existing Estonian company that already trades shows each step and what our part of it costs. We do not value companies and we do not find sellers.

Frequently asked questions

Do you have aged companies that are several years old?

Our ready-made companies were registered earlier and have not traded: they have a past registration date, but no business history, turnover or debts. Each company for sale is listed with its registration date, VAT status and price on the Companies for sale page. When the list is empty, leave a wish there — the minimum age and whether a VAT number is needed — and we email you as soon as a matching company is listed. A company that already trades, with profit and filed annual reports, is bought from its owner instead; our guide on buying an existing company explains how.
