Catching up on late annual reports

One or more years of annual reports outstanding: what it risks, how it is fixed, and what several reports cost.

An Estonian company that has not filed its annual reports for one or more years is a common sight — the owner moved on, the accountant stopped, the company had no turnover. Late reports are not only an administrative nuisance: the registrar can impose penalty payments and, in the end, have the company deleted from the register. This guide explains how to catch up, how several reports are priced, and why restoring the accounts is often part of the job.

The deadline and what happens when it is missed

An Estonian company must approve its annual report and submit it to the commercial register within six months after the end of the financial year. If it does not, the registrar first warns the company and can impose penalty payments; a company that keeps failing to submit its reports can be deleted from the register. A company in this state also has trouble with banks, tax certificates and register changes.

How several reports are priced

Choose in the order form how many reports are outstanding. Each annual report of a company without turnover is €450 / report. If you cannot sign the reports digitally, we prepare and submit them on the basis of a power of attorney, and the surcharge of €300 is charged once, however many reports. An e-resident who signs digitally does not pay it.

When the accounts must be restored first

A report can only be as good as the books behind it. With two or more years outstanding there are usually bank statements to book, missing documents and tax declarations to check. We then recommend accounting restoration (from €700, depending on the volume) — the order form offers it, it is never added by itself.

What we need from you

Access to the company's bank statements for the years concerned, any invoices and contracts you have, and the details of the persons who will sign. If the company had no turnover at all, the reports are simpler; if it had transactions, restoration of the books comes first.

Adding a field of activity

A field of activity can be added to the register only together with the annual report: €250. It cannot be ordered on its own.

How it works

  1. You order the annual reports and choose how many years are outstanding.
  2. We check the company's register file and bank statements and tell you whether restoration is needed.
  3. We prepare the reports, year by year.
  4. You sign them digitally — or we sign and submit them on the basis of your power of attorney.
  5. We submit the reports to the commercial register and confirm by email.

If the company is no longer needed, closing it may be the better choice. We do not provide services to citizens of Russia or to companies from Russia. Prices exclude VAT. All communication takes place by email.

How are several annual reports priced?

Do I pay the power of attorney surcharge for every report?

No. It is charged once per order, not per report — and not at all if you sign the reports digitally.

Can I add a field of activity on its own?

No. A field of activity can be added only together with the preparation and submission of the annual report; it cannot be ordered separately.

Why can the field of activity be added only with the annual report?

The field of activity is reported to the register together with the annual report. We therefore offer it as an addition to the report and not as a separate register service.
