Some entrepreneurs who live in Indonesia form or buy an Estonian private limited company (OÜ), often as e-residents, and run it from Jakarta or Bali. That works, but Indonesian income tax does not look only at where a company was founded: a body established or domiciled in Indonesia is a domestic taxpayer, and the Director General of Taxes determines a body's domicile according to the actual circumstances. A place of management in Indonesia of a foreign company is a permanent establishment. Estonia and Indonesia have no tax treaty. This guide sets out these rules with the official text, and what we do on the Estonian side.
The guide is general information, not tax advice. How your company and you are taxed depends on the facts of your case; ask an Indonesian tax adviser before you form or buy the company. We read the Income Tax Law (Law 7 of 1983) as amended by Law 7 of 2021 on the harmonisation of tax regulations and by Law 6 of 2023 (article 111), in the texts published by the legal documentation network of the Indonesian Ministry of Finance (JDIH Kemenkeu), and the Estonian Ministry of Finance's list of tax treaties, on 24 October 2026.
In Estonia: an Estonian company is Estonian
A company established under Estonian law is resident in Estonia for tax purposes (Income Tax Act § 6). Its profit is taxed when it is distributed, not while it stays in the company — the guide how Estonia taxes company profit explains the rule. The company keeps its Estonian duties wherever its owners live: accounts, an annual report to the commercial register and, if its address is abroad, a contact person in Estonia.
In Indonesia: the company side
- Established or domiciled in Indonesia. A body established or domiciled in Indonesia is a domestic tax subject (Income Tax Law, article 2(3)(b)), and the domicile of a body is determined by the Director General of Taxes according to the actual circumstances (article 2(6)).
- A place of management is a permanent establishment. A body neither established nor domiciled in Indonesia that carries on business through a permanent establishment there is a foreign tax subject (article 2(4)(d)), and a permanent establishment can be a place of management (article 2(5)(a)).
- What is taxed. Income is any increase in economic capacity received or accrued by the taxpayer, whether it comes from Indonesia or from outside Indonesia (article 4(1)).
- Rate. Domestic corporate taxpayers and permanent establishments pay 22 per cent, from the 2022 tax year (article 17(1)(b)).
An Estonian OÜ is established in Estonia. If you live in Indonesia and the business is in fact managed from there, Indonesia can treat the company as domiciled there, or treat the place of management as a permanent establishment. Your Indonesian tax adviser answers that with the facts of your case.
In Indonesia: the owner side
- Who is a resident individual. An individual, Indonesian or foreign, is a domestic tax subject if they reside in Indonesia, are in Indonesia for more than 183 days in a period of 12 months, or are in Indonesia in a tax year and intend to reside there (article 2(3)(a)).
- Controlled foreign company rule. The Minister of Finance may determine when a domestic taxpayer is deemed to receive a dividend from a foreign company whose shares are not traded on a stock exchange, if the taxpayer holds at least 50 per cent of its paid-up shares, alone or together with other domestic taxpayers (article 18(2)). The deemed dividend can arise even if the Estonian company pays nothing out.
How an owner living in Indonesia is taxed on what the Estonian company earns or pays out is a question for your Indonesian tax adviser.
No tax treaty between Estonia and Indonesia
- No treaty. Indonesia is not on the Estonian Ministry of Finance's list of tax treaties in force, signed or initialled.
- What that means. There is no treaty rule on a company resident in both countries, on a permanent establishment or on the tax on dividends and board fees — each country applies its own law. See board member fee or dividend from abroad for the Estonian side.
What to decide before you form or buy the company
- Where the business is managed. A place of management in Indonesia is a permanent establishment, and it bears on where the company is domiciled.
- Who owns it. A holding of 50 per cent or more by Indonesian residents brings in the deemed dividend rule.
- How profits reach you. Without a treaty, each country applies its own rules to dividends and board fees.

Frequently asked questions
Is my Estonian company taxed in Indonesia if I run it from Indonesia?
It can be. A body established or domiciled in Indonesia is a domestic taxpayer, and the Director General of Taxes determines a body's domicile according to the actual circumstances (Income Tax Law, article 2(3)(b) and 2(6)); a place of management in Indonesia of a foreign company is a permanent establishment (article 2(5)(a)). The rate is 22 per cent (article 17(1)(b)). In Estonia the company stays resident because it was established under Estonian law (Income Tax Act § 6). Estonia and Indonesia have no tax treaty, so each country applies its own law. Ask an Indonesian tax adviser before you form or buy the company; we handle the Estonian side.
