Many people living in Azerbaijan form or buy an Estonian private limited company (OÜ), often as e-residents, and run it from Azerbaijan. The Azerbaijani Tax Code counts a legal entity as resident not only when it is established under Azerbaijani law but also when its place of management is in Azerbaijan. On the owner side, it has a controlled foreign company rule for companies registered in countries with preferential taxation. And the Estonia–Azerbaijan tax treaty leaves a company resident in both countries to the two tax authorities — without their agreement it is resident of neither for the treaty. This guide sets out these rules with the official texts, and what we do on the Estonian side.
The guide is general information, not tax advice. How your company and you are taxed depends on the facts of your case; ask an Azerbaijani tax adviser before you form or buy the company. We read the Tax Code of the Republic of Azerbaijan in its official text in force on e-qanun.az, the state register of legal acts, and the Estonia–Azerbaijan tax treaty in Riigi Teataja, on 22 October 2026. The Code is in Azerbaijani; the English wording here is ours.
In Estonia: an Estonian company is Estonian
A company established under Estonian law is resident in Estonia for tax purposes (Income Tax Act § 6). Its profit is taxed when it is distributed, not while it stays in the company — the guide how Estonia taxes company profit explains the rule. The company keeps its Estonian duties wherever its owners live: accounts, an annual report to the commercial register and, if its address is abroad, a contact person in Estonia.
In Azerbaijan: the company side
- Place of management. A resident is any legal entity established under Azerbaijani law and carrying on business, or having its place of management in Azerbaijan. The place of management is the main place of activity where the commercial decisions needed for management are taken and day-to-day practical management is carried out, wherever the main control bodies are (Tax Code, Article 13.2.5.3).
- The rate. The profit of enterprises is taxed at 20 percent (Article 105.1).
An Estonian OÜ is established under Estonian law. If you take its commercial decisions and run it day to day from Azerbaijan, whether its place of management is in Azerbaijan is the question Article 13.2.5.3 raises. Your Azerbaijani tax adviser answers it with the facts of your case.
In Azerbaijan: the owner side
- Resident. A natural person is resident when actually present in Azerbaijan for more than 182 days in total in any period of 12 consecutive months ending in the calendar year (Article 13.2.5.1).
- Controlled foreign company. The profit of a non-resident enterprise registered in a country or territory with preferential taxation is taxed in Azerbaijan when a resident, alone or with related persons, holds directly or indirectly more than 50 percent of its votes, its capital or the right to its profit; when the tax it actually pays is 75 percent or less of the profit tax the Code would charge; and when more than 30 percent of its annual income is passive income such as interest, royalties or gains on shares (Article 14-2.1).
- Preferential taxation. A country or territory has preferential taxation when its tax rate is 75 percent or less of the Code's rate, when it does not exchange information with Azerbaijan to the relevant standards, or when its law allows financial or ownership information to be kept secret; the list is approved by the competent executive authority (Article 128.2 and 128.3).
An Estonian OÜ pays no corporate income tax while its profit stays in the company. Whether Estonia is on the approved list, and whether your company meets the conditions of Article 14-2, is a question for your Azerbaijani tax adviser; we did not read the list itself.
The Estonia–Azerbaijan tax treaty
- A company resident in both countries. The competent authorities of the two countries decide by mutual agreement how the treaty applies to it; if they do not agree, it is not treated as resident of either country and gets no treaty benefits (Agreement signed on 30 October 2007, in force since 27 November 2008, Article 4(3)).
- Permanent establishment. A permanent establishment is a fixed place of business through which the business is wholly or partly carried on, and includes especially a place of management (Article 5).
- Dividends. The country of the paying company may tax dividends at no more than 5 per cent of the gross amount when the recipient is a company directly holding at least 25 per cent of the capital, and 10 per cent in all other cases (Article 10(2)).
- Directors' fees. Fees for a member of the board of a company resident in the other country may be taxed in that country (Article 16).
The treaty does not decide by itself where an OÜ managed from Azerbaijan belongs: Article 4(3) leaves it to the two tax authorities. We do not give that ruling.
What to decide before you form or buy the company
- Where the company is managed. Commercial decisions and day-to-day management in Azerbaijan bring in Article 13.2.5.3.
- Where you live. More than 182 days in Azerbaijan in a 12-month period makes you resident under Article 13.2.5.1.
- What the company earns. Passive income and your holding decide whether Article 14-2 can apply.
- How you take money out. A dividend and a board fee fall under different articles of the treaty.

Frequently asked questions
Is my Estonian company taxed in Azerbaijan if I run it from Azerbaijan?
It can be. Azerbaijan counts a legal entity as resident when its place of management is in Azerbaijan — where the commercial decisions are taken and day-to-day management is carried out (Tax Code, Article 13.2.5.3); the profit tax is 20 percent (Article 105.1). In Estonia the company stays resident because it was established under Estonian law (Income Tax Act § 6). Under the Estonia–Azerbaijan tax treaty, the two tax authorities decide by mutual agreement how the treaty applies to a company resident in both countries; without agreement it gets no treaty benefits (Article 4(3)). An Azerbaijani resident who controls the company can also fall under the controlled foreign company rule (Article 14-2). Ask an Azerbaijani tax adviser before you form or buy the company; we handle the Estonian side.
