Estonian OÜ or Ukrainian FOP: what to compare

Single-tax rates, the owner's liability, how company profit is taxed and the CFC rules — with the legal sources of Ukraine and Estonia.

In short

Ukrainian entrepreneurs who work for foreign clients often compare two options: staying a Ukrainian individual entrepreneur (фізична особа – підприємець, FOP) on the simplified tax system, or running the business through an Estonian private limited company (OÜ). They are different things — a FOP is the person, an OÜ is a separate company — and the comparison is less about a rate than about liability, where profit is taxed and what a Ukrainian resident owner must report. Which option suits you depends on the facts of your case; ask a Ukrainian tax adviser before you decide.

They are different things — a FOP is the person, an OÜ is a separate company — and the comparison is less about a rate than about liability, where profit is taxed and what a Ukrainian resident owner must report. This guide sets out the rules of both countries with the official texts.

The guide is general information, not tax or legal advice. Which option suits you depends on the facts of your case; ask a Ukrainian tax adviser before you decide. The Tax Code of Ukraine (version of 17 September 2026) and the Civil Code of Ukraine (version of 5 August 2026) were read on the official portal of the Verkhovna Rada, and the Estonian Commercial Code in Riigi Teataja, on 21 October 2026.

A FOP on the simplified system: what the Tax Code says

  • Group 3. A FOP — with or without employees — whose income in a calendar year does not exceed 1167 minimum wages (as set by law on 1 January of that year) can be a single-tax payer of the third group (Tax Code of Ukraine, art. 291.4, point 3).
  • The rate. The single tax of the third group is 3 percent of income for a payer who also pays VAT, and 5 percent of income when VAT is included in the single tax (art. 293.3).
  • The military levy. Single-tax payers of the third group, other than e-residents, also pay the military levy at 1 percent of income (Tax Code, section XX, subsection 10, point 16-1, sub-points 1.1 and 1.3).
  • Social contribution. The unified social contribution is set by a separate law, not by the Tax Code; your adviser will add it to the comparison.

Liability: the person or the company

  • FOP. An individual entrepreneur is liable for the obligations of the business with all of his or her property, except property that by law cannot be seized; a married entrepreneur also with his or her share of the spouses' joint property (Civil Code of Ukraine, art. 52).
  • OÜ. A shareholder is not personally liable for the obligations of the private limited company; the company is liable with all of its own assets (Estonian Commercial Code § 135(2) and (3)).

An Estonian OÜ: where its profit is taxed

  • In Estonia, a company established under Estonian law is resident for tax purposes (Income Tax Act § 6), and its profit is taxed when it is distributed, not while it stays in the company — see how Estonia taxes company profit.
  • In Ukraine, a foreign company with its place of effective management in Ukraine is a Ukrainian corporate income tax payer (art. 133.1.5), and a Ukrainian resident who owns more than 50 percent is a controlling person under the controlled foreign company rules, with a report to file and, unless an exemption applies, tax on the company's adjusted profit (art. 39-2). Our guide Estonian company run from Ukraine explains both rules and the Estonia–Ukraine tax treaty.

So for a Ukrainian resident, an OÜ does not remove Ukraine from the picture: it moves the question from the single tax to company residence and CFC rules. It makes sense when the company is really run as a company — with its own accounts, contracts in its name and profit that is kept for the business — and when limited liability matters to you.

What to compare before you decide

  • Where you will live and work. Ukrainian tax residence decides whether the Ukrainian rules above apply to you at all.
  • How much profit stays in the business. Retained profit is not taxed in Estonia; the CFC rules decide what Ukraine taxes.
  • Liability and clients. A FOP is liable with personal property; an OÜ shareholder is not.
  • Cost of running it. An OÜ needs accounting and an annual report in Estonia; the prices are below.
