In short: the cost of an Estonian private limited company (OÜ) has three parts. The first is getting the company, either by forming a new one or by buying a ready-made one. The second is keeping it in order each year: a registered address and contact person, accounting and the annual report. The third is state fees. Each of the three can be known in advance. This page is general information, not legal or tax advice.
Getting the company
We offer three routes. The price of each is shown below as it stands in our price list today.
- Online formation for an e-resident: €950. This route is for one founder who is also the only management board member and who signs with the e-residency card, without a notary. The price includes the preparation of the articles of association and the registration application, the filing in the e-Business Register for your digital signature, the state fee for registering the company, a registered address in Estonia for the first 12 months and a licensed contact person for the first 12 months. It does not include a VAT number, accounting or the annual report.
- New company formation in person at a notary office in Tallinn: €950. You sign the incorporation documents yourself. The price includes the Estonian notary fees and state fees, a registered address in Estonia and a licensed contact person for the first 12 months.
- New company formation by notarised power of attorney: €1,250. You do not come to Estonia. The price includes the Estonian notary fees and state fees, the sworn translation of the power of attorney in Estonia, a registered address in Estonia and a licensed contact person for the first 12 months. You pay only for signing the power of attorney in your own country, which means the local notary fee and the apostille.
- Ready-made company: the packages differ by how you sign and by whether the company has a VAT number. Bought in person at a notary office in Tallinn, without a VAT number: €900. Bought remotely by notarised power of attorney, with an active VAT number: €1,450. The package includes the ready-made company, the preparation of the transfer documentation, the organisation of the transfer of ownership and management at the notary, the Estonian notary fees and state fees, and a registered address and licensed contact person for 12 months.
The formation and ready-made packages include one person: the management board member who is also the only shareholder. Each additional person is priced in the order form. The routes are described on the pages company formation and ready-made company, and compared in the guide ready-made or new company.
State fees
State fees are amounts fixed by law, not by a service provider. Two of them matter for most small companies.
- Entering a private limited company in the commercial register costs €200, or €265 when the application is filed in the expedited procedure. Source: State Fees Act (riigilõivuseadus) § 62(2), version RT I, 11.07.2026, 166, read on 10 October 2026.
- Entering a change in the commercial register costs €25 per entry. Source: State Fees Act (riigilõivuseadus) § 63(2), same version, read on 10 October 2026.
In our formation and ready-made prices the Estonian state fee is included, so it is not added to the price shown above. This page does not cover how company profit is taxed; that is explained in the guide how Estonia taxes company profit.
Each year
After the first year a company has recurring costs. These are our prices for the usual items.
- Registered address and contact person together: €350 / year. A contact person is mandatory when the address of the company is abroad (Commercial Register Act § 24); authorities and courts deliver documents to the contact person.
- Accounting: from €150 / month. A company with business transactions needs its bank statements and invoices booked, its monthly tax declarations filed and its year closed for the annual report. This is a starting price: it depends on the number of transactions, VAT registration and payroll, and we confirm it in writing before we start.
- Annual report: from €450. Every Estonian company submits an annual report to the commercial register for each financial year. This is also a starting price, for a company with low activity; no state fee is charged for filing an annual report.
- Company secretary: €250 / year. This service is optional. It exists for owners who run their company from abroad and want reminders of the statutory dates, one annual check of the register data and the routine resolutions drafted. It does not include preparing the annual report itself.
More detail is in the guides what it costs to keep an Estonian company and accounting for an Estonian OÜ.
What other providers publish
On 10 October 2026 we read the public price pages of ten Estonian providers. Formation for an e-resident was listed between €265 and €510 where the first year of address was not or only partly included; a registered address with contact person between €199 and €500 a year; accounting from €59 to €135 a month. Prices and what they include differ, so compare what is inside each price.
The amounts in the paragraph above are not our prices. We do not name the providers, and their prices can change after the date on which we read them.
A worked example: one founder, e-resident, first year
The table lists what one founder who is an e-resident would usually order for the first year. Each amount comes from our price list.
| Item | Source of the amount |
|---|---|
| Online company formation, state fee for registering the company included | €950 Registered address and contact person service for one year are included., our price list |
| Registered address and licensed contact person for the first 12 months | Already contained in the online formation price; nothing is added in the first year |
| Accounting for twelve months | from €150 / month, our price list; the monthly price applies twelve times and is confirmed in writing before we start |
| Annual report for the first financial year | from €450, our price list; a starting price |
The order form adds these up before you pay. From the second year the address and contact person are extended at the yearly price shown in the section above.
Work out your first year
Choose how you get the company and what you add. The sums are estimates from our price list: accounting and the annual report are counted at their starting prices, and the registered address and contact person for the first 12 months are inside every route.
First year, estimate: €3,200
Each following year, estimate (with the address and contact person extended): €2,600
Prices exclude VAT. This is an estimate, not an offer: the order form shows the exact total before you pay and charges accounting for the first month only.
What decides the rest
- Number of founders. Online formation is for one founder who is the only board member. With more founders or board members the formation package applies, and each additional person is priced in the order form. See company formation.
- VAT registration. A VAT number is not included in online formation or in the formation packages; it is ordered separately, and the decision to register a company for VAT is made by the Estonian Tax and Customs Board. VAT registration also affects the accounting price. See company services.
- Licences. A company whose activity needs a licence or authorisation has further costs: the preparation of the application and the fees of the supervisory authority. See licensed companies.
If you are not sure which route fits, the Business Navigator asks a few questions and shows the matching service.
