Many entrepreneurs in Italy, often e-residents, form or buy an Estonian private limited company (OÜ) and run it from home. That works, but Italian law looks at where a company's strategic decisions are taken and where it is managed day to day, not only where it is registered. This guide sets out the rules of both countries with their sources, what they mean for an owner and director living in Italy, and what we do on the Estonian side.
The guide is general information, not tax advice. Whether your company is taxed in Italy depends on the facts of your case; ask an Italian tax adviser (commercialista) before you form or buy the company. The Italian rule was read in Normattiva, the official database, in the wording of Legislative Decree 209/2023, on 16 October 2026.
In Estonia: an Estonian company is Estonian
A company established under Estonian law is resident in Estonia for tax purposes (Income Tax Act § 6). Its profit is taxed when it is distributed, not while it stays in the company — the guide how Estonia taxes company profit explains the rule. The company keeps its Estonian duties wherever its owners live: accounts, an annual report to the commercial register and, if its address is abroad, a contact person in Estonia.
In Italy: strategic decisions or day-to-day management
- The rule. For income tax purposes, companies and entities are resident in Italy if, for the greater part of the tax period, they have in Italy their registered office, their place of effective management (sede di direzione effettiva) or their ordinary management carried out mainly there (gestione ordinaria in via principale) (Testo unico delle imposte sui redditi, article 73(3), as replaced by Legislative Decree 209/2023, article 2).
- Place of effective management. The continuous and coordinated taking of the strategic decisions concerning the company as a whole (article 73(3)).
- Ordinary management. The continuous and coordinated carrying out of the day-to-day management acts concerning the company as a whole (article 73(3)).
An OÜ whose only director lives in Italy and takes the decisions or runs the day-to-day business from there is therefore exactly the case this rule looks at. Whether that is so is a question of fact, assessed by the Italian tax administration (Agenzia delle Entrate).
When both countries count the company as resident
If the company is resident under Estonian law and under Italian law at the same time, the tax treaty between Italy and Estonia decides how it is treated. How it settles a particular company's case is a question for the two tax administrations and for your Italian tax adviser — we do not give that ruling.
What to decide before you form or buy the company
- Who takes the decisions, and where. Both the strategic decisions and the day-to-day management count under the Italian rule.
- Where the work is done. An office or other fixed place of business in Italy can be a permanent establishment.
- Ask first. An Italian tax adviser can assess your plan before you start.

Frequently asked questions
Is my Estonian company taxed in Italy if I run it from Italy?
It can be. A company is resident in Italy if, for most of the tax period, it has its registered office, its place of effective management (where its strategic decisions are taken) or its ordinary day-to-day management mainly in Italy (TUIR article 73(3), as replaced by Legislative Decree 209/2023). In Estonia the company stays resident because it was established under Estonian law (Income Tax Act § 6). When both countries count it as resident, the Italy–Estonia tax treaty decides. Ask an Italian tax adviser before you form or buy the company; we handle the Estonian side.
