Estonian company run from Qatar: what is taxed where

What owners and directors in Qatar of an Estonian OÜ must know about Qatari-source income, the resident entity rule and the signed Estonia–Qatar tax treaty — with the legal sources.

In short

Some entrepreneurs who live in Qatar form or buy an Estonian private limited company (OÜ), often as e-residents, and run it from Doha. Qatar's income tax works differently from most countries in this series: it is charged on income from sources in Qatar, and an entity counts as resident only if it is both established in Qatar and has its main and actual place of management and control there. An Estonian OÜ is therefore not a Qatari resident entity, but income from an activity carried on in Qatar is Qatari-source income.

Estonia and Qatar have signed a tax treaty, but it was not in force on the date we checked. This guide sets out these rules with the official texts, and what we do on the Estonian side.

The guide is general information, not tax advice. How your company and you are taxed depends on the facts of your case; ask a Qatari tax adviser before you form or buy the company. We read Law No. 24 of 2018 promulgating the Income Tax Law, with the amendments of Law No. 11 of 2022, in the 2024 English edition of the law and its executive regulations issued by the General Tax Authority, and the Ministry of Finance's list of Estonia's tax treaties, on 24 October 2026. The General Tax Authority publishes later rules on the global minimum tax for multinational groups and on capital gains separately; ask your adviser whether they touch your case.

In Estonia: an Estonian company is Estonian

A company established under Estonian law is resident in Estonia for tax purposes (Income Tax Act § 6). Its profit is taxed when it is distributed, not while it stays in the company — the guide how Estonia taxes company profit explains the rule. The company keeps its Estonian duties wherever its owners live: accounts, an annual report to the commercial register and, if its address is abroad, a contact person in Estonia.

In Qatar: the company side

  • Who is a resident entity. A resident is, among others, any entity that has its place of establishment in Qatar, provided that its main and actual place of management and control is in Qatar (Income Tax Law, Article 1, definition of “Resident”). An Estonian OÜ is established in Estonia, so it is not a Qatari resident entity, wherever it is managed from.
  • Tax on Qatari-source income. An annual tax is imposed on the taxpayer's total taxable income arising from sources in Qatar (Article 2). Income realised in Qatar includes gross income from an activity carried on in Qatar and from contracts performed wholly or partly in Qatar (Article 3(1) and (2)).
  • Permanent establishment. A permanent establishment is a fixed place of business through which a project carries on its activities, wholly or partly (Article 1).
  • Rate. The tax rate is 10% of the taxable income for the tax year (Article 9).

So what matters in Qatar is not where the OÜ is registered but where its work is done: if you serve clients from Doha, the income from that activity can be Qatari-source income. Your Qatari tax adviser answers that with the facts of your case.

In Qatar: the owner side

  • Who is a resident individual. A resident is every individual who has a permanent home available in Qatar, who has stayed there continuously or intermittently for more than 183 days in the year, or who holds Qatari nationality (Article 1, definition of “Resident”).
  • No controlled foreign company rule. The law as we read it has no rule that adds a foreign company's retained profit to its owner's income.

How an owner living in Qatar is taxed on what the Estonian company pays out is a question for your Qatari tax adviser.

The Estonia–Qatar tax treaty

  • Signed, not in force. On the Estonian Ministry of Finance's list, the agreement with Qatar is under signed agreements: signed on 7 March 2024, ratified by Estonia on 11 September 2024, not in force.
  • Until it is in force, there is no treaty rule between Estonia and Qatar on a company's residence, a permanent establishment or the tax on dividends and board fees — each country applies its own law. See board member fee or dividend from abroad for the Estonian side.

What to decide before you form or buy the company

  • Where the work is done. An activity carried on in Qatar, or a contract performed there, brings in Qatari-source income.
  • Where the clients are. Contracts performed wholly or partly in Qatar are named in the law.
  • How profits reach you. Without a treaty in force, each country applies its own rules to dividends and board fees.

Frequently asked questions

Is my Estonian company taxed in Qatar if I run it from Qatar?

Only on its income from sources in Qatar. Qatar counts as a resident entity only one that is established in Qatar and has its main and actual place of management and control there (Income Tax Law, Article 1), so an Estonian OÜ is not a Qatari resident entity; but tax is imposed on income arising from sources in Qatar, which includes income from an activity carried on in Qatar (Articles 2 and 3), at 10% (Article 9). In Estonia the company is resident because it was established under Estonian law (Income Tax Act § 6). The Estonia–Qatar tax treaty is signed but not in force, so each country applies its own law. Ask a Qatari tax adviser before you form or buy the company; we handle the Estonian side.
