Estonian company run from the UAE: what is taxed where

What owners and directors in the United Arab Emirates of an Estonian OÜ must know about effective management and control, the permanent establishment and the Estonia–UAE tax treaty — with the legal sources.

In short

Many entrepreneurs who moved to the United Arab Emirates form or buy an Estonian private limited company (OÜ), often as e-residents, and run it from Dubai or Abu Dhabi. That works, but UAE corporate tax does not look only at where a company was founded: a company incorporated abroad that is effectively managed and controlled in the UAE is a UAE resident person for corporate tax. The UAE law has no rule on controlled foreign companies.

And the Estonia–UAE tax treaty counts as a UAE resident only a company incorporated in the UAE, so for the treaty an Estonian OÜ stays an Estonian company, and what the UAE can tax is a permanent establishment there. This guide sets out these rules with the official texts, and what we do on the Estonian side.

The guide is general information, not tax advice. How your company and you are taxed depends on the facts of your case; ask a UAE tax adviser before you form or buy the company. We read Federal Decree-Law No. 47 of 2022 on the Taxation of Corporations and Businesses in the English translation published by the UAE Ministry of Finance (an unofficial translation; the Arabic text is the law), the amending Federal Decree-Law No. 60 of 2023, and the Estonia–UAE tax treaty in Riigi Teataja, on 23 October 2026. A further amending decree-law, No. 28 of 2025, was not available to us on the Ministry's website; ask your adviser whether it touches the articles below.

In Estonia: an Estonian company is Estonian

A company established under Estonian law is resident in Estonia for tax purposes (Income Tax Act § 6). Its profit is taxed when it is distributed, not while it stays in the company — the guide how Estonia taxes company profit explains the rule. The company keeps its Estonian duties wherever its owners live: accounts, an annual report to the commercial register and, if its address is abroad, a contact person in Estonia.

In the UAE: the company side

  • Managed and controlled in the UAE. A resident person includes a juridical person incorporated or otherwise established or recognised under the legislation of a foreign jurisdiction that is effectively managed and controlled in the State (Federal Decree-Law No. 47 of 2022, Article 11(3)(b)).
  • Non-residents. A person that is not resident is a taxable person if it has a permanent establishment in the UAE, derives income with its source in the UAE, or has a nexus there set by a Cabinet decision (Article 11(4)).
  • Permanent establishment. A fixed or permanent place in the UAE through which the business is conducted is a permanent establishment; it includes a place of management where the management and commercial decisions necessary for the business are, in substance, made, a branch and an office (Article 14(1) and (2)).
  • Rate. Corporate tax is 0% on the part of taxable income up to an amount set by a Cabinet decision and 9% on the part above it (Article 3(1)). A resident person whose revenue stays under a threshold set by the Minister may elect small business relief (Article 21). For multinational groups the amending decree-law of 2023 adds a top-up tax so that their effective tax is 15% (Article 3(3)).

An Estonian OÜ is founded in Estonia. If you live in the UAE and the company is in fact managed and controlled from there, the UAE can treat it as a UAE resident person under its own law. Your UAE tax adviser answers that with the facts of your case.

In the UAE: the owner side

  • No controlled foreign company rule. The Decree-Law as we read it contains no rule that adds a foreign company's undistributed profit to its owner's income.
  • Natural persons. A natural person is a taxable person for corporate tax when they conduct a business or business activity in the State (Article 11(3)(c)); the Cabinet decides which kinds of business of a natural person are subject to the tax (Article 11(6)).

How an owner living in the UAE is taxed on what the Estonian company pays out is a question for your UAE tax adviser.

What the Estonia–UAE tax treaty says

  • Who is a resident. For the treaty, a resident of Estonia is a person with unlimited tax liability under Estonian tax law, and a resident of the UAE is a person with residence there under UAE law or a company incorporated in the UAE (agreement signed in Abu Dhabi on 20 April 2011, article 4(1); RT II, 06.03.2012, 4). An Estonian OÜ is incorporated in Estonia, so for the treaty it is a resident of Estonia.
  • Resident in both countries. If a person other than an individual is still resident in both states, the competent authorities decide by agreement (article 4(4)).
  • Permanent establishment. A permanent establishment is a fixed place of business through which the business of an enterprise is wholly or partly carried on; it includes especially a place of management, a branch and an office (article 5(1) and (2)). The profit of an enterprise of one state is taxed only there, unless it carries on business through a permanent establishment in the other state; then the profit attributable to it may be taxed there (article 7(1)).
  • Directors' fees. Fees a UAE resident receives as a member of the management board or a similar body of an Estonian company may be taxed in Estonia (article 15) — see board member fee or dividend from abroad.
  • Dividends. Dividends paid by an Estonian company to a UAE resident are taxed only in the UAE (article 10(1)).

So, under the treaty, an Estonian OÜ run from the UAE stays an Estonian company, and what the UAE can tax is the profit of a permanent establishment there — and a place of management is one. The multilateral convention on tax treaty measures (MLI) can change the rules of tax treaties; how it applies to your company is a question for your UAE tax adviser — we do not give that ruling.

What to decide before you form or buy the company

  • Where the company is actually managed and controlled. That is the fact the UAE residence rule looks at, and a place of management can be a permanent establishment under the treaty.
  • Where the work is done. An office or other fixed place of business in the UAE can be a permanent establishment.
  • How profits reach you. Dividends and board fees are covered by articles 10 and 15 of the treaty.

Frequently asked questions

Is my Estonian company taxed in the UAE if I run it from the UAE?

It can be. Under UAE corporate tax a company incorporated abroad is a resident person if it is effectively managed and controlled in the UAE (Federal Decree-Law No. 47 of 2022, Article 11(3)(b)). In Estonia the company stays resident because it was established under Estonian law (Income Tax Act § 6). Under the Estonia–UAE tax treaty only a company incorporated in the UAE is a UAE resident (article 4(1)), so an Estonian OÜ is an Estonian company for the treaty and the UAE can tax the profit of a permanent establishment there, which includes a place of management (articles 5 and 7(1)). The UAE law has no controlled foreign company rule. Ask a UAE tax adviser before you form or buy the company; we handle the Estonian side.
