Estonian company run from Luxembourg: where it is taxed

What Luxembourg owners and directors of an Estonian OÜ must know about corporate income tax, the CFC rule and the tax treaty — with the legal sources.

In short

Many Luxembourg residents form or buy an Estonian private limited company (OÜ), often as e-residents, and run it from Luxembourg. That works, but Luxembourg's corporate income tax does not look only at where a company is registered: a company whose statutory seat or central administration (administration centrale) is in Luxembourg is a resident taxpayer there. Luxembourg's controlled foreign company rule, on the other hand, is written for companies that control a foreign one.

The tax treaty between Estonia and Luxembourg leaves a company resident in both countries to the two tax administrations. This guide sets out these rules with the official texts, and what we do on the Estonian side.

The guide is general information, not tax advice. How your company and you are taxed depends on the facts of your case; ask a Luxembourg tax adviser before you form or buy the company. We read the amended Income Tax Law of 4 December 1967 (loi concernant l'impôt sur le revenu, LIR) in the coordinated text in force on 1 January 2026 published by the Luxembourg direct tax administration (Administration des contributions directes, updated 8 May 2026), and the treaty in its Estonian text in Riigi Teataja, on 21 October 2026; the English wording below is our translation.

In Estonia: an Estonian company is Estonian

A company established under Estonian law is resident in Estonia for tax purposes (Income Tax Act § 6). Its profit is taxed when it is distributed, not while it stays in the company — the guide how Estonia taxes company profit explains the rule. The company keeps its Estonian duties wherever its owners live: accounts, an annual report to the commercial register and, if its address is abroad, a contact person in Estonia.

In Luxembourg: statutory seat or central administration

  • Resident taxpayers. Collective bodies — among them limited liability companies (sociétés à responsabilité limitée) — are resident taxpayers liable to the corporate income tax (impôt sur le revenu des collectivités) as long as their statutory seat or their central administration is in the Grand Duchy (LIR, article 159(1)).
  • On all income. The corporate income tax of a resident taxpayer covers all of its income (article 159(2)).
  • Without seat or central administration. A collective body that has neither its statutory seat nor its central administration in Luxembourg is liable only for its Luxembourg-source income (article 160(1)).

In Luxembourg: the controlled foreign company rule

  • For a company as owner. A controlled foreign company is a collective body whose income is not taxable or is exempt in Luxembourg, where the taxpayer, alone or with associated enterprises, holds more than 50 percent of the voting rights or of the capital, or is entitled to more than 50 percent of the profits, and the tax it actually pays is lower than the difference between the Luxembourg corporate income tax it would have borne and that tax (LIR, article 164ter(1)). The taxpayer for this rule is a collective body under article 159 or a Luxembourg permanent establishment of a non-resident one; an individual owner is not named.
  • Small companies are outside it. The rule does not cover a controlled foreign company whose accounting profit is not more than 750,000 euros, or not more than 10 percent of its operating costs (article 164ter(1)).

An Estonian company pays corporate income tax only when it distributes profit, so in a year in which it keeps its profit its tax can be below half of the Luxembourg tax on the same profit. Whether the rule reaches you depends on who owns the Estonian company — you yourself or a Luxembourg company of yours — and on its figures; your Luxembourg tax adviser answers that.

What the Estonia–Luxembourg tax treaty says

  • Resident in both countries. If a person other than an individual is resident in both states, the competent authorities settle the question by mutual agreement (agreement signed in Brussels on 7 July 2014, applied since 1 January 2016, article 4(3); RT II, 27.02.2015, 3). The treaty does not decide it by itself.
  • Permanent establishment. A permanent establishment is a fixed place of business through which the business of an enterprise is wholly or partly carried on; it includes especially a place of management, a branch and an office (article 5(1) and (2)). The profit attributable to it may be taxed in the state where it is (article 7(1)).
  • Directors' fees. Fees a Luxembourg resident receives as a member of the management board or a similar body of an Estonian company may be taxed in Estonia (article 15) — see board member fee or dividend from abroad.
  • Dividends. Dividends paid by an Estonian company to a Luxembourg resident may be taxed in Luxembourg; if Estonia also taxes them at source, the treaty limits that tax to 0 percent of the gross amount for a company holding directly at least 10 percent of the capital, and 10 percent in all other cases (article 10(1) and (2)).

So, as with Austria, Ireland, Switzerland and France, the treaty does not settle a double residence by itself: a company whose central administration is in Luxembourg may need an agreement between the two tax administrations. The multilateral convention on tax treaty measures (MLI) can change the rules of tax treaties; how it applies to your company is a question for your Luxembourg tax adviser — we do not give that ruling.

What to decide before you form or buy the company

  • Where the central administration really is. Where the decisions that direct the company are in fact taken is the fact the Luxembourg rule looks at.
  • Who owns it. The controlled foreign company rule speaks of a company as owner; owning the OÜ through a Luxembourg company changes the analysis.
  • Where the work is done. An office or other fixed place of business in Luxembourg can be a permanent establishment.

Frequently asked questions

Is my Estonian company taxed in Luxembourg if I run it from Luxembourg?

It can be. A company whose statutory seat or central administration is in Luxembourg is a resident taxpayer liable to the corporate income tax on all its income (Income Tax Law of 4 December 1967, article 159). In Estonia the company stays resident because it was established under Estonian law (Income Tax Act § 6). Under the Estonia–Luxembourg tax treaty the competent authorities settle such a double residence by mutual agreement (article 4(3)). Luxembourg's controlled foreign company rule names a company as the controlling owner (article 164ter). Ask a Luxembourg tax adviser before you form or buy the company; we handle the Estonian side.
