Licensed and regulated companies: EMI, payment institution and gambling licences in Estonia

Corporate and regulatory work for Estonian companies in regulated sectors. Our prices are professional fees: state and supervisory fees, regulatory capital and third-party costs are not included.

In short

Preparation and management of licence applications for Estonian companies in regulated sectors: payment institutions, e-money institutions, gambling, road transport, and corporate structures for funds, lenders and debt collection companies. The price is from €3,500, excluding VAT. How long it takes: drafting 4–10 weeks depending on the licence and the client's inputs; the authority's statutory term runs from a complete application (payment / e-money institution: 3 months under PSD2 Article 12, often longer in practice with questions).

Specialised licences

These authorisations have their own pages, prices and order forms:

The documents that are prepared

For a payment or e-money institution:

  • a business plan and financial forecast
  • a description of the governance and internal control system
  • rules for the prevention of money laundering and terrorist financing
  • the safeguarding of client funds
  • IT and security arrangements
  • risk management, outsourcing and business continuity

For a gambling activity licence:

  • the rules of the games
  • player identification and verification
  • measures against money laundering and terrorist financing
  • responsible gambling measures
  • internal control

What LexorCorp does

  • assess the business model against the requirements and tell you in writing what the application needs
  • draft the application documents listed above and assemble the file
  • submit the application and manage the correspondence with the authority
  • prepare the answers to the authority's questions together with you
  • keep every step in writing, so you always see what has been filed and what is pending

What you do

  • provide the initial capital required for the services (for example at least 350,000 euros for an e-money institution under § 64 of the Payment Institutions and E-money Institutions Act) and meet the own-funds requirements after authorisation
  • document the background of the owners, managers and key persons and the origin of the funds — they are assessed for their reliability
  • appoint your own compliance officer, who is assessed by the authority
  • for gambling: provide the technical platform; software certification is done by testing laboratories at your cost

What the authority does

The authority is the Estonian Financial Supervision Authority for payment and e-money institutions, and the Estonian Tax and Customs Board for gambling.

  • the Financial Supervision Authority receives payment and e-money institution applications through its application portal (since 18 March 2026) and decides within three months of receiving the complete documents, and at the latest six months after the application was submitted (Financial Supervision Authority, operating licences page, checked 5 October 2026)
  • the Financial Supervision Authority reviews the application, usually asks questions and requests additional information, and then decides
  • the Tax and Customs Board reviews gambling applications and may request additional information before deciding; the activity licence gives the right to apply for operating permits, issued per game or venue (Gambling Act §§ 16 and 22)
  • the Tax and Customs Board decides on the activity licence within four months of receiving all the documents and information, and at the latest six months after the application (Gambling Act § 18(4)); on an operating permit within two months, and at the latest four months after the application (§ 22(4)) — Gambling Act in the wording in force from 1 January 2026, checked 5 October 2026

Timeline

The duration depends heavily on the business model, the readiness of the documents and of the technical platform, and on the authority's questions. No honest provider can promise a fixed date, and we do not. We confirm our own preparation time for your case in writing before the work starts.

Our fee

Usual time: drafting 4–10 weeks depending on the licence and the client's inputs; the authority's statutory term runs from a complete application (payment / e-money institution: 3 months under PSD2 Article 12, often longer in practice with questions). This is what it usually takes, not a promised date.

Road transport operator licence: The state fee, the notary fee and the licence fee are included in the price — you pay nothing extra.

More in the guide State fees and capital for EU licences.

What is not included in our fee

  • The initial capital and own funds of the institution — they are held by your company.
  • The compliance officer: he or she must be your own appointee, assessed by the authority; screening software and the officer's role are not part of the service.
  • Gambling software certification — it is carried out by testing laboratories and is a third-party cost.
  • Gambling operating permits — they are a separate step for your games and venues and are not part of this price.
  • State fees, notary fees and the fees of the authority.

We do not grant or guarantee any authorisation and cannot promise when the authority decides.

Our own licence FIU000117, issued by the Estonian Financial Intelligence Unit, covers LexorCorp Global's activity as a company service provider. It is not an authorisation for your business and gives us no right to grant one: the final decision on every licence, authorisation and registration is made by the competent supervisory authority alone.

What each line covers

Payment and e-money institutions. We prepare and manage the application to the Estonian Financial Supervision Authority. The authorisation is granted by the authority; the initial capital (for example at least 350,000 euros for an e-money institution under § 64 of the Payment Institutions and E-money Institutions Act) is held by your company and is not part of our fee.

Gambling. Estonian gambling law has two steps. The activity licence (tegevusluba) is issued by the Tax and Customs Board for an unlimited period and gives the right to apply for operating permits; each operating permit (korraldusluba) is issued per game or venue (Gambling Act §§ 16 and 22). Our line covers the activity licence application; operating permits are a separate step for your games and venues and are not part of this price. The state fees for both are set in the State Fees Act §§ 260–261 and are charged separately.

Fund structure, debt collection and lending companies. These three lines are corporate set-ups only. A fund structure is the vehicle, not the fund manager's authorisation; a debt collection company does not include the Financial Supervision Authority's credit servicer licence; a lending company does not include the creditor licence.

Road transport. We prepare the operator licence application, including the transport manager's documents and the evidence of financial standing required by Regulation (EC) No 1071/2009.

What goes with each service: required and recommended add-ons

Required add-ons are added to the order with the service. Strongly recommended add-ons arrive ticked and can be removed. Each line names the provision it rests on, read in the official text. General information about our services, not legal advice. The same list for every licence is in the guide required and recommended documents for licence applications.

How a regulated-company project works

  1. You order the work on this page

You: You choose the authorisation or corporate structure and its add-ons in the order form on this page.

We: We register your order and send you a written intake questionnaire and a document request by email.

  2. We assess the planned business

You: You describe the planned activity, its owners and its managers in the questionnaire.

We: We carry out client due diligence and compare your plan with the statutory application requirements in a gap analysis.

  3. The application file is drafted

You: You supply the facts, capital evidence and personal documents that only the applicant can give.

We: We draft the full application file and the internal rules; drafting takes 4–10 weeks depending on the licence and your inputs.

  4. Management reviews and signs

You: Your management board reads the file with us before submission and signs it.

We: We go through the file with your management and correct what the review brings up.

  5. The application is filed

You: You stay available, because the authority usually asks questions and requests additional information.

We: We file the application in your company's name and manage the correspondence with the authority.

  6. The authority decides

You: You wait for the decision and, if it is positive, keep meeting the conditions of the authorisation.

We: We answer the authority's questions with you until the decision, which the competent supervisory authority makes alone.

What we need from you and why

From youWhy
Articles of association and registry extract of the applicantThe application is made in the name of an Estonian company, and these documents identify it in the file.
Proof of registered office and place of management in EstoniaReal presence and management in Estonia is a prerequisite for this work.
Organisational chart, staffing plan and job descriptionsThe file describes who carries out the key functions: compliance, risk management, internal audit and the AML officer.
Personal documents of each management and supervisory board memberFit and proper management is a prerequisite, and the CV, criminal record certificates and declarations are the evidence of it.
Identity, ownership chart and source of funds of qualifying holdersThe file follows the ownership of the applicant up to the ultimate beneficial owners and states where the capital comes from.
Evidence of the paid-in initial capitalInitial capital must be paid in as the sector law requires, and only the applicant can give the evidence.

When this service is not for you

  • You expect our fee to be the price of a licence, or a licence to be certain once you have paid it. The fee pays for our work on the application; the decision is always the authority's, and we cannot guarantee a licence, registration or entry.
  • You plan to provide crypto-asset services. The application for those is prepared under MiCA crypto-asset service provider authorisation.
  • You need the creditor licence or the credit servicer authorisation itself, not only the corporate structure of a lending or debt collection company. Those applications are prepared under creditor and credit servicer authorisation.
  • You need the authorisation or registration of a fund manager, not only the corporate set-up of the fund. That work is described under fund manager authorisation and registration.
  • Your business will not have real presence and management in Estonia. That presence is a prerequisite, so this work is not for you until it is in place.

Frequently asked questions

Is your price the price of the licence?

No. Our price is our professional fee for preparing and managing the application. State and supervisory fees, the regulatory capital your company must hold, and third-party costs are separate. The licence is granted or refused by the competent authority.

Can you guarantee that the licence will be granted?

No. The decision belongs to the Financial Supervision Authority, the Tax and Customs Board or another competent authority. We prepare the application to the standard the authority expects and manage its questions, but we cannot promise the outcome or its timing.

What is the difference between a fund structure and a fund manager licence?

A fund structure is the corporate vehicle for the fund. It does not include the fund manager's authorisation, which is a separate application to the Financial Supervision Authority described on our fund licensing page.

What does the gambling line cover?

The application for the activity licence (tegevusluba) issued by the Tax and Customs Board. Operating permits for individual games or venues are a separate step and are not part of this price, and the state fees for both are charged separately.

Which AML documents does a payment, e-money or gambling licence application need?

The obliged entity must have a business-wide risk assessment, internal rules on customer due diligence, sanctions screening and reporting procedures, a compliance officer and a training plan under the Money Laundering and Terrorist Financing Prevention Act. The authority reads them to judge whether the applicant understands its own risks.

Will you act as our compliance officer or MLRO?

No. The compliance officer must be your own appointee, assessed by the authority. We write the AML/CFT framework and train your team on it; screening software and the officer's role are not part of the service.

What is safeguarding of customers' funds?

A payment or e-money institution must protect funds received from customers, either by segregating them on a separate account or in secure low-risk assets, or by insurance or a comparable guarantee (Article 10 of Directive (EU) 2015/2366; Article 7 of Directive 2009/110/EC). The application describes the method, the daily reconciliation and the records.

Do you open the safeguarding account?

No. The safeguarding account is opened by a bank at its own discretion. We prepare the policy and the documentation pack the bank asks for; insurance or guarantee premiums are third-party costs.

What player protection procedures does a gambling operator need?

Age verification, limits and self-exclusion, the handling of players showing signs of problem gambling, and a complaints procedure. They form part of the activity licence application under the Gambling Act and are checked again in supervision.

Does the responsible gambling package certify our gaming software?

No. Software certification is carried out by testing laboratories and is a third-party cost. The package covers the policies and procedures.

Can a road transport company use an external transport manager?

Yes, under Article 4(2) of Regulation (EC) No 1071/2009, if a contract specifies the tasks the manager performs effectively and continuously. An external manager may work for no more than four undertakings with a combined fleet of no more than fifty vehicles, and a Member State may set lower limits.

Is the transport manager contract part of the operator licence service?

The operator licence service includes the transport manager's documents for the application. Where the manager is external, the contract that Article 4(2) requires is a separate add-on at a fixed price. Finding a transport manager and the certificate of professional competence are not included.

Can you guarantee the licence?

No. The competent authority grants or refuses every licence. FIU licence FIU000117 is LexorCorp's own licence for its trust and company services; it does not authorise the client. We prepare and manage the application and answer the authority's questions.

What are the main risks of a licence application?

Insufficient capital, managers who do not meet the fit and proper requirements, a weak AML framework or a business plan without real substance. We identify these in the assessment before the application.

What happens if the authority asks for more information?

We prepare the answers with you within the deadline the authority sets; the procedure is suspended until the answers are filed.

Can a licensed Estonian company be run from abroad?

The application can be prepared and managed with you remotely, by email. The authority, however, expects real substance in Estonia: the registered office, and management and key functions that are actually carried out here. We assess this before the application.

The authority decides within three months of receiving the complete documents, and at the latest six months after the application was submitted; since 18 March 2026 the application is submitted through its application portal (Financial Supervision Authority, operating licences page, checked 5 October 2026). The time to prepare a complete application depends on your business model and documents; we confirm our preparation time in writing before the work starts and cannot promise the authority's decision.

What is the difference between a payment institution and an e-money institution?

An e-money institution may in addition issue electronic money, the stored value its customers hold; it needs higher initial capital and must safeguard the funds received for e-money. Which licence your model needs follows from the services you plan; we assess it before the work starts.
